Engagement terms

Valzakdelivers professional services in AI & automation, website design, app development, and full-stack engineering. The specific scope, deliverables, timeline, and price for any engagement are defined in a written proposal or statement of work (SOW) exchanged by email or signed document before work begins.

No invoice is issued, and no work commences, until scope and price are confirmed in writing by the client.

Prices are quoted in UAE dirhams (AED) in the SOW. Invoices are issued upon project kickoff, at agreed milestones, and on final delivery. Payment terms default to net-14 unless stated otherwise in the SOW.

Every paid engagement receives a formal invoice (VAT as applicable) matching the values in the SOW.

Either party may cancel an engagement in writing. Cancellation terms are:

• Within 7 days of kickoff, before any deliverable is produced: full refund of any paid deposit.
• After kickoff, before the first milestone: pro-rata refund of unused deposit, less reasonable costs already incurred (documented in writing).
• After any milestone has been delivered and accepted: no refund for delivered milestones; any remaining milestones are cancelled without further charge.

Every milestone includes a reasonable revision allowance, specified in the SOW. Additional revisions beyond the allowance are billed at the hourly rate in the SOW.

For a period of 30 days after final delivery, we repair any defect that prevents delivered software from meeting the agreed acceptance criteria — at no additional cost. This covers bugs introduced during our work. It does not cover changes caused by third-party platform updates, new feature requests, or user error.

Refunds are processed to the original payment method within 14 days of cancellation agreement. We do not refund for work already delivered and accepted.

If you believe a deliverable does not meet the agreed acceptance criteria, notify us in writing within 14 days of delivery and we will remediate under clause 4.

On full payment, all deliverables produced specifically for the engagement transfer to the client. Valzak retains ownership of any pre-existing libraries, frameworks, or internal tools used to produce the work, and grants the client a perpetual licence to use them as incorporated into the deliverable.

We treat client information received during an engagement as confidential and will not disclose it to third parties without written consent, except as required by law. We are happy to sign a mutual NDA before detailed scoping.

These terms are governed by the laws of the United Arab Emirates. Any dispute is subject to the exclusive jurisdiction of the courts of the Emirate of Dubai.
